Disclosure of information regarding the share buyback program
pursuant to Article 5 para 1 lit. a of Regulation (EU) No 596/2014 in conjunction with
Article 2 para. 1 of Delegated Regulation (EU) 2016/1052

The share buyback program announced by Samara Asset Group PLC (the “Company’) on 18 September 2026 will commence on 21 September 2026 and is scheduled to end no later than 20 September 2027. A credit institution is authorized to repurchase up to maximum 1,500,000 treasury shares at a total purchase price of maximum EUR 15 million. The repurchased shares are to be used as funds for acquisitions. The Company is thereby using the authorization to acquire treasury shares as resolved by the extraordinary general meeting on 18 September 2026 in accordance with Clause 41 of the Company’s Articles of Association (and within the meaning of Article 106 of the Companies Act, Chapter 386 of the Laws of Malta).
The credit institution will be instructed to repurchase the shares exclusively via the stock exchange, independently and uninfluenced by the Company. The Company’s right to terminate the mandate with the credit institution at any time and to instruct another credit institution, investment firm or investment bank, remains unaffected. The purchase price offered per share (excluding acquisition costs) must not exceed EUR 10.00 per share.
The buyback will be conducted under the leadership of a credit institution in accordance with the Market Abuse Regulation and Articles 2 to 4 of Delegated Regulation (EU) 2016/1052 of the Commission of 8 March 2016. Accordingly, the credit institution may not acquire on one day, in total, more than 25 per cent of the average daily share turnover on the stock exchange on which the respective purchase takes place. The average daily share turnover is calculated on the basis of the average daily trading volume over the 20 trading days preceding the date of purchase. The share buyback may be suspended and resumed at any time in accordance with the applicable legal requirements.
The transactions shall be disclosed in a manner that complies with the requirements of Article 5 para. 3 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 in conjunction with Article 2 paras. 2 and 3 of Delegated Regulation (EU) 2016/1052 no later than by the end of the 7th trading day following their execution, and published, amongst other places, on the Company’s website at https://www.samara-ag.com.
